Terms of Service

1. Acceptance of Terms

By accessing or using the Cerberus Verify ID platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Platform.

2. Description of Service

Cerberus Verify ID provides a biometric attendance verification platform for continuing education (CE) providers, attendees, and accrediting bodies. The Platform enables providers to create CE sessions, verify attendee identity via WebAuthn biometric authentication, track attendance compliance, and issue CE certificates.

3. Accounts and Access

Provider accounts require an invite code issued by Cerberus Verify ID. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• Ensuring all information you provide is accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Biometric Data

By enrolling in biometric verification as an attendee, you consent to your device processing your biometric data locally for the purpose of identity verification during CE sessions.

5. Subscription and Payment

• Provider subscriptions are billed monthly or annually as selected at checkout
• A free trial period may be offered; trial terms are displayed at signup
• Payments are processed by Stripe. By subscribing, you agree to Stripe's terms
• Subscriptions auto-renew unless cancelled before the renewal date
• Refunds are evaluated on a case-by-case basis; contact us within 7 days of a charge
• We reserve the right to change pricing with 30 days' notice to existing subscribers

6. Provider Responsibilities

As a CE provider using the Platform, you agree to:

• Accurately represent your accreditation status and course information
• Only award CE credits for sessions that meet your accrediting body's requirements
• Obtain any required consents from attendees for data collection
• Not use the Platform to issue fraudulent or unearned CE credits
• Comply with all applicable professional licensing and CE regulations
• Maintain accurate attendee records as required by your accrediting body

7. Acceptable Use

You may not use the Platform to:

• Violate any applicable law or regulation
• Impersonate another person or entity
• Circumvent or attempt to circumvent biometric verification
• Interfere with the Platform's operation or security
• Scrape, reverse-engineer, or copy the Platform
• Issue CE credits for sessions that did not occur

8. Intellectual Property

The Platform, including all software, design, trademarks, and content, is owned by Cerberus Verify ID and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You retain ownership of data you input into the Platform.

9. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERBERUS VERIFY ID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cerberus Verify ID from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the relationship at any time. Upon termination, your access to the Platform will cease. Data retention following termination is governed by our Privacy Policy. Provisions that by their nature should survive termination (including payment obligations, intellectual property, disclaimers) will survive.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or Platform notice. Continued use after changes constitutes acceptance.
